EXHIBITOR AGREEMENT
This Agreement between WisePause Wellness Summit a California Corporation and (“Vendor”) for the purpose of leasing exhibitor space at the 2024 WisePause Wellness at the Skirball Cultural Center on September 21, 2024.

BOOTH FEE
A. Full payment due at the time of booking.
B. Payment Method. Payment method is: Visa/Master Card or Square. We do not accept personal checks, no exceptions.
C. Payments: if check, it must be made out to and mailed to: Tea Botanics, 6709 LaTijera Blvd, Suite 912, Los Angeles, CA 90045

SPACE PROVIDED:
A. Standard Equipment: Each Exhibitor shall be provided with the following equipment:
1. One (1) 10X10 area with standard electrical outlet in the area
2. One (1) six-foot folding table
3. Two (2) folding chairs.
B. Damage to Equipment: Exhibitors shall be responsible for the repair or replacement of any damaged equipment supplied to Vendor by WisePause Lifestyle Tour or its suppliers, including but not limited to the booth, tables, chairs, or electrical equipment.
C. Booth Space: Exhibitors are not allowed to conduct business outside of your 10X10 space.

HOURS of OPERATION & RULES:
A. Standard Operating Hours: WisePause Wellness Summit begins at 8 am on September 21, 2024 ends 6:00pm on September 21, 2024. Booth set up shall take place between 6:00 am and 8:00 am if inside the Ahmanson Hall. If outside, booth set up must be completed by 10:30am. All loading vehicles must be removed by 9 am. One vehicle per vendor parking space available. Vendor is expected to be open for business by at 8:00 am if inside, and 10:30am if outside. Vendor shall remain open for business until the end of the event and shall shutdown promptly at 6:00pm. Vendor access maps from the loading area will be provided to vendors.
B. Participation at WisePause Wellness Summit: WisePause retains the sole discretion to replace any booth, which is deemed abandoned by 8:00 am without refund.
C. Vehicles may not load-out until at least 6:00 p.m. or until an “all clear” has been given by WisePause Wellness Summit production team.

COMPLIANCE WITH ALL FIRE CODES: Vendor shall comply with any and all conditions and/or requirements set forth for the purpose of satisfying and adhering to all applicable City codes and regulations. WisePause Lifestyle Tour assumes no responsibility or liability for vendor’s violations with regard to City Codes and regulations.

INSURANCE: Vendor shall provide and maintain, at its sole cost and expense: Workers Compensation Insurance and general liability insurance. WisePause Lifestyle Tour cannot be made responsible for any on the job injury, liabilities of any sort on behalf of the vendor or its employees, or its subcontractors.

TAXES AND FEES
A. Taxes: Vendor shall be responsible for any and all applicable taxes or fees imposed by the City, State, County or Federal Governments related to the operation of the Vendor’s booth.
B. Worker’s Compensation Insurance. Vendor shall maintain their own Workers Compensation Policy and shall be responsible for all fees related to such coverage.

INDEMNIFICATION AND HOLD HARMLESS: Vendor agrees to indemnify, defend, save and hold harmless WisePause Wellness Live!, Skirball Cultural Center, Sponsors including Equelle and Tea Botanics and any and all officers, directors, agents, employees from any and all claims of any nature whatsoever, including, but not limited to, death, personal injury, or property damage arising from or connected to, directly or indirectly, its operations, equipment, products, and services.
RELEASE AND WAIVER OF ALL LIABILITY: Vendor assumes all responsibility for its product, materials and/or services and the actions by any of its employees or agents occurring immediately before, during, or after Tour. Exhibitor hereby releases WisePause Wellness Summit and any and all of their respective officers, directors, agents, employees from any and all claims of any nature whatsoever, including, but not limited to, death, personal injury, or property damage arising from or connected to, directly or indirectly, its operations, equipment, products, and services.

CANCELLATION: If the WisePause Wellness Live! is cancelled there is no scheduled rain date or postponement date and all payments will be returned.

LIMITED SPACE - Due to limited space available, WisePause Wellness Summit reserves the right to select participating Exhibitors.

COVID POLICY: WISEPAUSE WELLNESS LIVE WILL COMPLY WITH STATE AND LOCAL COVID-19 POLICIES. WE PREFER VACCINATIONS OR NEGATIVE TESTS TO ENTER WISEPAUSE WELLNESS®.

1. PER OUR CURRENT ENTRY POLICY FOR WISEPAUSE WELLNESS ATTENDEES MUST BE FULLY VACCINATED FOR ENTRY INTO ALL VENUES.
2. THIS EVENT SHALL BE PRESENTED IN ACCORDANCE WITH APPLICABLE PUBLIC HEALTH CONDITIONS AS OF THE DATE OF THE EVENT AND WHICH MAY CHANGE AT ANY TIME AS DETERMINED BY FEDERAL, STATE OR LOCAL GOVERNMENT AGENCIES OR INSTRUMENTALITIES, ARTISTS OR THE PROMOTER; SUCH REQUIREMENTS MAY INCLUDE, WITHOUT LIMITATION, CHANGES TO CAPACITY, ATTENDANCE PROCEDURES AND ENTRY REQUIREMENTS, SUCH AS PROOF OF VACCINATION, AND OTHER PROTECTIVE MEASURES SUCH AS REQUIRING ATTENDEES TO WEAR FACE COVERINGS WHEN INSIDE VENUES.
3. ALL ATTENDEES AGREE TO FOLLOW SUMMIT POLICIES (INCLUDING HEALTH AND SAFETY POLICIES) AND POSTED INSTRUCTIONS WHILE AT THE SUMMIT. ACCORDING TO THE CDC, OLDER ADULTS AND PEOPLE OF ALL AGES WITH SERIOUS UNDERLYING MEDICAL CONDITIONS MAY BE AT HIGHER RISK OF DEATH OR SEVERE ILLNESS FROM COVID-19. ALL ATTENDEES SHOULD EVALUATE THEIR RISK IN DETERMINING WHETHER TO ATTEND THE SUMMIT. BY ENTERING THE SUMMIT, ATTENDEES VOLUNTARILY ASSUME ALL RISKS RELATED TO EXPOSURE TO COVID-19 AND CONFIRM THAT THEY WILL ADHERE TO LOCAL QUARANTINE MANDATES AND THE CDC QUARANTINE REQUIREMENTS, AVAILABLE AT HTTPS://WWW.CDC.GOV/CORONAVIRUS/2019-NCOV/IF-YOU-ARE-SICK/QUARANTINE.HTML.
IN ACCORDANCE WITH CALIFORNIA STATE AND LOCAL GUIDELINES AND PUBLIC HEALTH GUIDANCE, YOU MUST SHOW A VALID ID WITH PROOF OF FULL VACCINATION FOR ENTRY IN ALL WISEPAUSE WELLNESS VENUES.

4. I UNDERSTAND AND AGREE THAT WISEPAUSE WILL NOT BE HONORING RELIGIOUS OR MEDICAL EXEMPTIONS. THOSE WHO FALL UNDER THESE CATEGORIES ARE WELCOME TO ENJOY SELECTIONS OF THE EVENT VIRTUALLY ON DATE TO BE DETERMINED.
I have read the above vendor information, as well as the details of this reservation form and agree to be bound by its contents.
